License Agreement
This End User License Agreement ("Agreement") is between you and Third Channel LLC ("Third Channel Audio," "we," "us"). It covers Hydra and any other software, updates, and documentation we provide (the "Software"). By installing, activating, or using the Software, you agree to these terms. If you do not agree, do not install or use it.
1. Your license
When you buy a license, we grant you a perpetual, non-exclusive license to install and use the Software for personal or commercial work, including film, television, games, and music, subject to this Agreement. The Software is licensed, not sold.
2. iLok activation
- The Software requires a free iLok account and the iLok License Manager from PACE.
- Each license allows one activation at a time, stored either on an iLok USB key (2nd generation or newer) or on a computer. iLok Cloud is not supported.
- You may move your activation between locations at any time using iLok License Manager. An iLok USB key lets you carry the license between systems.
- Keeping your iLok key and account safe is your responsibility. We recommend PACE's Zero Downtime coverage in case a key is lost, stolen, or damaged.
3. Trial licenses
Trial licenses let you evaluate the Software for 14 days from activation. When the trial ends, the Software stops working until you buy a license. Trial licenses cannot be transferred or resold.
4. Transferring or reselling your license
You may sell or give away your license. To do so, transfer it to the new owner's iLok account using iLok's transfer process (PACE charges its own fee for this), and email support@thirdchannelaudio.com with the new owner's email so support and updates go to the right person. Once transferred, you must stop using the Software. The new owner takes on this Agreement. Trial and not-for-resale (NFR) licenses cannot be transferred.
5. What you may not do
- Reverse engineer, decompile, disassemble, or modify the Software, except where the law expressly allows it
- Remove, bypass, or interfere with iLok or any other copy protection
- Share, rent, lease, lend, or distribute the Software or your license, except as allowed in section 4
- Remove or alter any copyright or trademark notices
6. Your work is yours
Audio you create or process with the Software belongs to you. We claim no rights in it and you owe us no royalties.
7. Ownership
Third Channel LLC owns the Software and all intellectual property in it, including its code, design, and interface. Hydra and Third Channel Audio are our trademarks.
8. Updates and support
We may release updates and fixes. Bug-fix updates for your version are free. Major new versions may be offered as paid upgrades. We provide support by email at support@thirdchannelaudio.com.
9. Refunds
Hydra comes with a free, fully working 14-day trial so you can test it on real work before you buy. Because of that, sales are final once a license has been activated. If you have not activated your license, you may request a refund within 14 days of purchase. If something goes wrong, such as a duplicate purchase or the Software not running on a supported system, contact support@thirdchannelaudio.com and we will review it case by case. Purchases made through another store follow that store's refund policy. Nothing in this section limits any rights you have under the consumer laws where you live.
10. No warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR WORK WITHOUT INTERRUPTION. Always keep backups of your sessions and media.
11. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, THIRD CHANNEL LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST SESSIONS, OR MISSED DEADLINES, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE. Some places do not allow these limits, so they may not fully apply to you.
12. Termination
This Agreement lasts until it ends. It ends automatically if you break its terms. If it ends, you must stop using the Software, deactivate your license, and delete all copies. Sections 6, 7, 10, 11, and 13 continue to apply after it ends.
13. Governing law
This Agreement is governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in California, unless the law where you live requires otherwise.
14. General
This Agreement, together with our Privacy Policy, is the entire agreement between you and us about the Software. If any part is found unenforceable, the rest still applies. We may update this Agreement for future versions of the Software; the version you accepted applies to the version you licensed.
